1. Application
Unless otherwise specifically agreed in writing these conditions shall be Incorporated in every offer, quotation, acceptance and contract of the supply of goods (including services ancillary thereto) by EDAN Medical (UK) Ltd (“the Company”) and any conditions proposed by the Customer are hereby excluded.
2. Acceptance
All quotations are given subject to confirmation by the Company upon receipt of the Customer’s order and no contract shall be concluded until such confirmation is given or the Customers order is otherwise accepted.
3. Prices
Prices quoted are those ruling at the time of quotation and are subject to increase thereafter to allow for any increase in cost of labour and/rmaterials which may occur before delivery. Prices are ex-works for delivery within the UK and carriage to the Customers premises will be arranged by the Company and charged as an extra. Prices for delivery outside the UK are to the UK port where the Company’s responsibility shall cease. If the total price of an order would otherwise be less than £20 a surcharge of £5 will be made. If the total price of an order for delivery is less than £500 a surcharge of up to £50 will be made.
4. Extras
Unless otherwise specifically agreed the contract does not include the supply of:-
a) descriptive literature or instructions other than one copy in English of instructions for the operation of the equipment in accordance with the company’s standard practice
b) the service of an engineer on site for the purpose of checking, servicing or commissioning the equipment
c) packing for UK sales
If the Company is requested to supply any of these items and agrees to do so, an extra charge will be made.
5. Delivery and Payment
If a delivery period is specified in the contract it shall commence on the date of the Company’s confirmation or acceptance as required by condition 2 or (if later) when the Company receives any further information which may be necessary for the contract to be proceeded with the customer agrees to supply such information promptly. Payment shall be due by net cash within 30 days (subject to acceptance of credit by EDAN Medical (UK) Ltd) of the date when the goods are invoiced (for home sales) or delivered f.o.b. UK (for overseas sales) If the customer fails to give delivery instructions within 30 days when required to do so by the Company, payment shall be due forthwith and the Company shall be entitled (but not bound) to store the goods at any available place and at the Customer’s expense. Amounts owing beyond the due dates as defined above will be subject to a surcharge of 2% for each month or part of month during which such overdue amounts remain unpaid. Sulis Healthcare will make a search with a credit reference agency, a record of which will be kept. This information may also be shared with other businesses.
The company reserves the right to make deliveries/and or services by instalments and to render a separate invoice in respect of such instalment. If the company exercises its right to make deliveries/and or services in accordance with the above, then delay in provision of such deliveries and /or services, or failure to deliver any further instalments, shall not entitle the buyer to reject the contract or delivery/service of any other instalment or to withhold payment in respect of any instalment previously delivered/serviced.
5a. Retention of Title
Title to the equipment shall remain with the seller and shall not pass to the buyer until payment in full for the same has been received by the seller.
6. Description
The Company’s drawings, descriptive matter, weights, dimensions and shipping specifications are approximate only unless specifically guaranteed, and in any event the Company shall be entitled to make minor modifications in details to the contract description of goods. The Company shall not be liable for failure to attain performance figures stated in the contract unless these have been guaranteed within a specific margin of tolerance. If any figure so guaranteed is not attained on test in the manner (if any) required by the contract, the Company shall be afforded proper opportunity to rectify the failure, and if the Company fails to do so the Customer may either reject or accept the relevant part of the goods but shall not be entitled to any damage unless an agreed reduction in the price is specified in the contract tin which case there shall be no right of rejection. There shall be no special tests except as provided in the contract and if the Customer fails after seven days notice to attend or be represented at any such tests they may be conducted by the Company in his absence and he will be bound by the results.
7. Guarantee
EDAN Medical (UK) Ltd as a supplier shall be liable for any guarantee directly. The Customer shall invoke the manufacturer’s guarantee ruling at the time, directly to the manufacturer. EDAN Medical (UK) Ltd will not be held responsible for the guarantee or cannot honour the guarantee due to bankruptcy insolvency or cessation of trading.
8. Loss or Damage in Transit
In the case of sales for delivery within the United Kingdom, the Company will repair or at its option replace free of charge any part of the goods lost or damaged in transit provided the Company and the carrier are given written notice of such loss or damage within the time required by the carriers conditions of carriage or where delivery is made by the Company’s own transport within reasonable time after receipt of the advice note.
9. Exclusions
Except as provided in conditions 6 and 8, the Company shall be under no liability in respect of the quality, conditions or descriptions of the goods or their fitness for any particular purpose or for delay in the manufacture or delivery of the goods or for the loss or damage howsoever caused to the Customer or any other person, and any term, condition or representation to the contrary whether express or implied by Statue, common law or otherwise is hereby expressly excluded. No servant or agent of the Company has authority to make any misrepresentations in relation to the goods on the Company’s behalf.
10. Third Party Claims
The Customer hereby undertakes to ensure that any third party who shall purchase the goods from the Customer or who shall or may be affected by the use of the goods by the Customer shall agree with the Customer as the agent (for this purpose only) of the Company that the Company shall be entitled to the like protection against claims by the third party as is afforded by condition 9 above against claims by the Customer. If and to the extent that notwithstanding the foregoing any claim is made by any third party against the Company which would not succeed by reason of condition 9 above if made by the Customer against the Company, the Customer shall indemnify the Company against such claim.
11. Insolvency or Default
If the Customer shall commit any breach of the contract or be or become insolvent or unable to pay his debts or commit any act of bankruptcy or (being a limited company) go into liquidation other than a voluntary liquidation for the purpose of amalgamation or reconstruction only or have a receiver appointed of its undertaking or assets or a substantial part thereof, the Company may without notice suspend or determine the contract or the unfulfilled part thereof and stop any goods in transit without prejudice to any other right or remedy which the Company may lawfully enforce or exercise.
12. Proper Law
The contract shall be governed and construed by the law of England. All disputes arising out of this contract shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Cancellation of Orders
In the event of an order being cancelled for whatsoever reason, the Company will be entitled to recover from the Customer the cost of all work carried out and the materials ordered at the date of cancellation together with a sum equivalent to the 10% of the order value in lieu of profit.
EXPORT
To be read in conjunction with and in addition to GENERAL TERMS AND CONDITION OF SALE.
1. Unless otherwise stated prices are valid for a period of 30 days from date of quotation. EDAN Medical (UK) Ltd reserves the right to pass on to the Customer any valid price increases incurred before firm order date or decline to effect order acceptance at the time of order placement.
2. Prices are ex-works and exclude export packing, freight to UK port and insurance.
3. On site installation, commissioning, customer training or acceptance specification, testing will be charged extra at cost.
4. Defective parts will be replaced free of charge for a period of 12 months from date of customer being informed goods are ready for despatch only on return of defective parts to EDAN Medical (UK) Ltd offices return carriage paid.
5. Where prices are quoted for specific quantities these prices are firm for duration of the offer, for those quantities only. Any quantity change BELOW the offer quantity will terminate the offer forthwith and EDAN Medical (UK) Ltd will have the option to re-submit prices.
6. Unless otherwise stated payment terms are by irrevocable letter of credit confirmed on a UK bank. Payment effected on production of shipping documents.
